Contractor Agreement
This Service Provider Agreement (“Agreement”) is entered into between Handiwork Referrals, LLC (“Company”) and the undersigned service provider (“Service Provider”) effective as of the date of signing.
1. Services Provided
Service Provider agrees to provide handyman services to homeowners (“Customers”) referred by Handiwork Referrals in accordance with:
- All applicable Arizona laws and regulations
- Industry standards for quality workmanship
- Project specifications provided by customers
2. Quotes
Company may ask Service Provider to provide quotes for work requested by Customers. Service Providers are required to provide prompt and accurate quotes for service, including the cost of materials and supplies. Company, at its discretion, will set Service Provider payment amounts for jobs in advance, to which Service Provider can accept. Service Providers will not be paid for work, supplies or materials etc. in excess of the original Service Provider payment amount unless these additions and associated costs are approved, in writing, by the Customer in advance.
3. Referral & Payment Process
a) Customers will pay the Service Fee directly to Company.
b) Company will refer customers to Service Provider for services.
c) Company will process payment to pay Service Provider within 5 business days of:
- Customer payment clearing
- Service Provider submitting proper invoice documentation
- Customer and/or Service Provider confirming satisfactory completion of service.
- d) Payment to Service Provider will be the Service Fee minus Company’s referral fee and payment processing fees.
- e) If a Customer cancels services with at least 24 hour notice of the service date, the Service Provider will not receive any payment for the canceled service. If less than 24 hour notice to cancel a service is provided by the Customer, the Contract may receive a partial payment for services, although this is not guaranteed. Service Providers may be asked to reschedule services in the event of a cancellation.
4. Service Provider Requirements
Service Provider represents and warrants that they:
a) Maintain all required licenses and permits
b) Carry general liability insurance of at least $1,000,000
c) Have all necessary tools and equipment
d) Will not subcontract work without Company approval
e) Will provide accurate time and cost estimates
5. Relationship of Parties
a) Service Provider is an independent contractor, not an employee
b) Service Provider is responsible for all taxes and withholdings
c) Company does not direct or control work methods
d) Service Provider may work for other companies/clients
6. Quality Standards & Customer Service
Service Provider agrees to:
a) Respond to referrals within 24 hours
b) Provide written estimates/quotes when requested
c) Maintain professional conduct at all times
d) Resolve customer complaints promptly
e) Warrant all work for 30 days minimum
7. Payment Disputes
a) Company may withhold payment for disputed work
b) Service Provider will cooperate in resolving disputes
c) Company’s decision on disputes is final
8. Confidentiality & Non-Circumvention
Service Provider agrees:
a) Not to solicit Company customers directly for 12 months
b) Not to disclose customer information to third parties
c) All customer contacts remain Company property
9. Termination
Either party may terminate this Agreement:
a) With 10 days written notice
b) Immediately for material breach
c) Company may terminate at any time, for any reason, and for poor performance or customer complaints. Addition to our Service Provider directory is not guaranteed and can be denied or rescinded at any time, for any reason, or for no reason.
10. General Provisions
a) Arizona law governs this Agreement
b) Any disputes will be resolved in Maricopa County
c) This Agreement constitutes the entire understanding
d) Amendments require written or electronic agreement
